This presentation will address selected tax and other planning issues that can arise in connection with limited liability companies. The material will discuss certain tax and other issues surrounding the classification of limited liability companies as disregarded entities for tax purposes, whether initially or as a result of the reduction of ownership to a single member. The material will consider the conversion of a limited liability company that is initially taxed as a disregarded entity to a taxable entity form. The material will discuss uses and issues associated with single member limited liability companies in estate planning.
